1. Fees
Travel Time (On-Site Visits)
Rate: $25.00/hr + HST, billed in 15-minute increments (15-minute minimum, one-way from provider’s office). Transparent and simple compared to regional norms that may embed or prorate travel costs. ellwood Technology Inc.
Waiting Time
Rate: $50.00/hr + HST, billed in 15-minute increments. Applies only to delays exceeding 30 minutes on-site and not caused by ellwood. Balanced and fair, while many MSPs omit waiting charges or incorporate them into higher flat rates. ellwood Technology Inc.
Overtime (After Hours)
Rate: $50.00/hr flat + HST for work performed outside of standard office hours (before 8 AM, after 6 PM, or during statutory holidays). More predictable than local MSP practices that charge time-and-a-half or double-time. ellwood Technology Inc.
Disbursements
You may also be billed for:
- Mileage at $0.50/km + HST (unless otherwise agreed).
- Per diem for meals at $75/person + HST.
- Parking, taxis, airfare, hotel.
- Shipping/courier, bank charges (e.g. NSF), printing ($0.10/page).
- Cost of materials, media storage devices (ownership transfers upon payment).
- Other client-approved expenses.

2. Working Hours & Overtime Clause
Standard working hours: 8:00 AM – 6:00 PM, Monday to Friday, excluding statutory holidays. ellwood may work up to 11 hours/day with breaks as needed. Overtime applies for work outside these hours. ellwood Technology Inc.
3. Payment Terms
Payment Due: Net 14 days from invoice date.
Late Fee: 15% per annum on balances overdue by 30 days or more.
Service Suspension: Services may be paused if invoices remain unpaid for 45 days. ellwood Technology Inc.
Invoices are sent via email only. Payment preferred via EFT; QuickBooks and cheque (mailed to the office) are accepted. ellwood Technology Inc.
4. Confidentiality
“Confidential Information” includes all non-public data shared or accessed by ellwood during engagements. Confidential obligations are ongoing and apply indefinitely. ellwood Technology Inc.
5. Dispute Resolution
Initial disputes resolved through good-faith negotiation.
If unresolved, binding mediation will be conducted by a mutually agreed mediator. ellwood Technology Inc.
6. Notices
All official notices must be in writing (email, certified mail, or fax) and are effective upon receipt. ellwood Technology Inc.
7. Successors & Assigns
Neither party may assign this agreement without the other’s prior written consent. Agreement binds successors and permitted assigns. ellwood Technology Inc.
8. Governing Law
Applicable laws: Province of Ontario, Canada. Disputes to be resolved in Ontario’s courts. ellwood Technology Inc.
9. Entire Agreement
These Terms & Conditions, together with the Letter of Engagement, constitute the full agreement. They supersede any prior discussions or understandings.
